This Cell-Buddy Ltd. Terms and Conditions constitutes an Agreement and is established between Cell-Buddy Ltd. and the entity or person willing to use and accessing the Service. Cell-Buddy ltd and/or its affiliates provides to be a subject of subject to the following Terms. Please review it carefully. By accepting these Terms and Conditions, you confirm you have read, understood and accepted its contents.
As used in this Agreement, “Cell-Buddy ltd” [also “Company” or “we” (or “Provider” in the Data Protection Addendum)] means Cell-Buddy ltd The principal office of the Company shall be 3 Carlebach st Street, P.O box 20593, Tel Aviv-Yafo, Israel 6713207.
The following terms shall have the meanings specified below:
“Services” means the services and products supplied by the Company to the Customer under the Agreement specified below.
“Customer”, “you” (or “Client” in a Data Protection Addendum) means any user, person or entity who creates an account and uses Cell-Buddy ltd Services supplied by the Company under the Agreement.
“Visitor” means any person who is browsing any website where Cell-Buddy ltd Services are installed.
“Agent” means any person who is employed by Customer to operate the Service.
“End-user” means any person who uses Cell-Buddy ltd Services in purpose to communicate with the Customer.
“Personal Data/Personal Information” means personal data within the meaning of the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (The General Data Protection Regulation – GDPR), processed by Cell-Buddy ltd (or a Sub-processor) on behalf of the Customer pursuant to or in connection with the Agreement.
“Confidential Information” means all information, whether written or oral, provided by the disclosing party to the receiving party and which (i) is known by the receiving party to be confidential; (ii) is marked as or stated to be confidential; or (iii) ought reasonably to be considered by the receiving party to be confidential.
“Third Party Service Provider” means any third party that collects, process and/or uses Personal Information under the instruction of Cell-Buddy ltd including any consultant, representative, advisor, or independent contractor (including Sub-processors) who renders services to the Company, a subsidiary, or an affiliate.
“Sub-processor” means entities which software, goods or services are used by the Company in order to run a business, in particular while providing the Services.
All terms derived from General Data Protection Regulation as “Commission”, “Controller”, “Data Subject”, “Member State”, “Personal Data”, “Personal Data Breach”, “Processing”, “Processor” should be understood in line with their regular meaning coming from the regulation.
For purposes of this Policy, unless otherwise defined herein, capitalised terms used in this Policy shall have the same meaning as defined in the Terms and Conditions.
Cell-Buddy Ltd. participates in and complies with the EU-U.S. Privacy Shield Framework and the Swiss-U.S. Privacy Shield Framework as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information transferred from the European Union and Switzerland to the United States OR Israel. Cell-Buddy Ltd. has certified to the Department of Commerce that it adheres to the Privacy Shield Principles, and in particular to the Privacy Shield Principles of:
Cell-Buddy Ltd. is responsible for the processing of Personal Data it receives under the Privacy Shield Framework and subsequently transfers to a Third Party Service Provider acting as an agent on its behalf. We comply with the Privacy Shield Principles for all onward transfers of Personal Data from the EU and Switzerland, including the onward transfer liability provisions. With respect to Personal Data received or transferred pursuant to the Privacy Shield Framework, we are subject to the regulatory enforcement powers of the U.S. Federal Trade Commission. In certain situations, we may be required to disclose Personal Data in response to lawful requests by public authorities, including to meet national security or law enforcement requirements. Please be aware we may disclose Personal Data to respond to subpoenas, court orders or legal process, or to establish or exercise our legal rights or defend against legal claims. We may also disclose Personal Information if it is necessary in order to prevent, investigate or take action regarding illegal activities, or as otherwise required by law. We will always give you an opportunity to choose opt-out before your Personal Data is (1) disclosed to a Sub-processor (other than Cell-Buddy Ltd.’s representatives doing work at our direction, or a third party affiliated or associated with Cell-Buddy Ltd. and connected with providing services and its current business activity), or (2) to be used for a purpose that is materially different than that for which it was originally collected or subsequently authorized by you. The only exception to this choice for Personal Data would be where we are required to disclose your Personal Data pursuant to governmental or judicial order, law or regulation to meet national security or law enforcement requirements. We will enable our Customers to provide individuals with reasonable mechanisms to exercise their choices. We guarantee that we take reasonable and appropriate technical and operational measures to protect your Personal Information we collect and hold from loss, misuse and unauthorized access, disclosure, alteration, and destruction. While protecting your personal data we take into due account the risk involved in the processing and the nature of the Personal Data.
Cell-Buddy Ltd. will only collect and retain Personal Information which is relevant to the purposes for which the Information is collected, and will not use it in a way that is incompatible with such purposes unless such use has been subsequently authorized by the Customer. Cell-Buddy Ltd. will take reasonable steps to ensure that Personal Information is reliable for its intended use, accurate, complete, and current. We may occasionally contact you to determine that your Personal Data is still accurate and current.
Each data subject has the right to access, correct, amend, block or delete its Personal Data. The Company shall comply with any commercially reasonable request by Customer to correct, amend, block or delete Customer’s Personal Data, as required by Data Protection Laws, to the extent the Company is legally permitted to do so. If you wish to access, amend, or confirm that Cell-Buddy Ltd. has Personal Data relating to you, or if you wish to correct or delete your Personal Information if it is inaccurate, please notify us at: firstname.lastname@example.org or vococ.net or vocod.net cell-buddy.com or freevoco.com (or via support e-mail of the Service you use). We will investigate your complaint, take appropriate action and report back to you within 30 days. Cell-Buddy Ltd. has further committed to refer unresolved privacy complaints to a non-profit alternative dispute resolution provider located in ISRAEL.
From time-to-time we may provide you the opportunity to participate in a survey within our applications or via e-mail. If you participate, we may require your name and e-mail address. Participation in these surveys is completely voluntary and you therefore have a choice whether or not to disclose this information.
We allow you the option to integrate your VOCO chat with third party add-ons. Please be aware that Cell-Buddy Ltd. is not responsible for any information that may be collected through these third party add-ons.
We post Customer testimonials on our websites which may contain Personal Data. We obtain the Customer’s consent via e-mail prior to posting the testimonial to post their name along with their testimonial.
Our websites may offer publicly accessible forums. You should be aware that any information you provide in these areas may be read, collected, and used by others who access them.
Depending on the Service you use we provide you with a way to import up to 100 operators at a time by allowing you to upload an excel spreadsheet. We will only use the information to allow you to add multiple Agents to your account at one time. We will send these operators a one-time e-mail inviting them to register with the site. If these Agent wish to have their e-mail address removed, they may remove the data through the application directly or contact us at email@example.com or vococ.net or vocod.net cell-buddy.com or freevoco.com (or via support e-mail of the Service you use).
Using offered Services rendered by Cell-Buddy Ltd., the Visitor and the Customer are obliged to comply with rules contained in the Terms and Conditions available on our websites.
