This Cell-Buddy Ltd. Terms and Conditions constitutes an Agreement and is established between Cell-Buddy Ltd. and the entity or person willing to use and accessing the Service. Cell-Buddy ltd and/or its affiliates provides to be a subject of subject to the following Terms. Please review it carefully. By accepting these Terms and Conditions, you confirm you have read, understood and accepted its contents.

The Privacy Policy describes how we collect and handle any information gathered from users of the Services. By accessing or using the Service, including browsing the site, you accept the Agreement and expressly consent to the collection, use, storage, processing, and disclosure of your information in accordance with our Privacy Policy.

Definitions

The following terms shall have the meanings specified below:

“Services” means the services and products supplied by the Company to the Customer under the Agreement specified below.

“Customer”, “you” (or “Client” in a Data Protection Addendum) means any user, person or entity who creates an account and uses Cell-Buddy ltd Services supplied by the Company under the Agreement.

“Visitor” means any person who is browsing any website where Cell-Buddy ltd Services are installed.

“Agent” means any person who is employed by Customer to operate the Service.

“End-user” means any person who uses Cell-Buddy ltd Services in purpose to communicate with the Customer.

“Personal Data/Personal Information” means personal data within the meaning of the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (The General Data Protection Regulation – GDPR), processed by Cell-Buddy ltd (or a Sub-processor) on behalf of the Customer pursuant to or in connection with the Agreement.

“Confidential Information” means all information, whether written or oral, provided by the disclosing party to the receiving party and which (i) is known by the receiving party to be confidential; (ii) is marked as or stated to be confidential; or (iii) ought reasonably to be considered by the receiving party to be confidential.

“Third Party Service Provider” means any third party that collects, process and/or uses Personal Information under the instruction of Cell-Buddy ltd including any consultant, representative, advisor, or independent contractor (including Sub-processors) who renders services to the Company, a subsidiary, or an affiliate.

“Sub-processor” means entities which software, goods or services are used by the Company in order to run a business, in particular while providing the Services.

All terms derived from General Data Protection Regulation as “Commission”, “Controller”, “Data Subject”, “Member State”, “Personal Data”, “Personal Data Breach”, “Processing”, “Processor” should be understood in line with their regular meaning coming from the regulation.

General statements

  1. On principles set out in this Terms and Conditions Cell-Buddy ltd renders the following Services: Cell-Buddy, voconet.io or vococ.net or vocod.net cell-buddy.com or freevoco.com, VOCT.
  2. Accepting these Terms and Conditions is a condition to use Services provided by Cell-Buddy ltd
  3. All Customers are obliged to observe these Terms and Conditions.
  4. By indicating the Customer’s acceptance towards this Agreement, accessing or using the Service, the Customer agrees to be bound by all terms, conditions, notices contained or referenced in this Agreement.
  5. Please keep in mind that Cell-Buddy ltd may modify the provisions of these Terms and Condition and only those currently visible on our website are up to date and valid at the time. However, modification shall not adversely affect the main provisions of the Agreement such as terms of payment or termination of Services. Such changes take places with prior notifying the Customer and – if not clearly rejected – are treated as accepted. Therefore, we encourage you to periodically familiarize with the currently effective Terms and Conditions version on our Internet websites.
  6. Further use of Services after additional modifications in the Terms and Conditions have been implemented, shall constitute the consent to accept these modifications. Refusal to accept these modifications shall preclude the Customer from using the Services.

Services description

  1. The software used by the Customer in accordance with its application and purpose defined in these Terms and Conditions, available on the following websites voconet.io or vococ.net or vocod.net cell-buddy.com or freevoco.com and provided by Cell-Buddy ltd shall be deemed as Services.
  2. The use of any new Services available on aforementioned website, after the Customer has accepted the Terms and Conditions shall be subject to its provisions.
  3. Cell-Buddy ltd is exclusively entitled to decide on functionality, the use, subject matter and the range of particular Services as well as to cease rendering the Services.
  4. The Company is exclusively authorized to decide on the contents and the nature of the software as well as to freely add, change or remove particular elements.
  5. The Company may use the content and the content rendered by the users for internal or external statistics anonymous or non anonymous usage. The Company may use the content rendered or created by users for ads or any other related services.  

Access and the use of Services

  1. Cell-Buddy ltd Services are exclusively designated for business use and must be used only in accordance with their purpose, application and the Terms and Conditions.
  2. Cell-Buddy ltd Services may be used only in line with its original purpose and aim. Detailed guidelines concerning proper use of the Services are enlisted in Acceptable Use Policy section below.
  3. Cell-Buddy ltd Services can be accessed solely by logging on particular website.
  4. Every Customer is assigned a particular password and login which must not be used by third parties without the Customer’s consent. The Customer is responsible for keeping and proper protection of his password and login.
  5. The Customer must be at least 13 years of age to be able to register and to access his or her account.
  6. The Customer undertakes to use the Services in accordance with their use, purpose and in the manner consistent with both these Terms and Conditions and provisions of currently effective law.
  7. The Customer bears full responsibility for all contents, phrases and entries added to the network in connection with the use of offered Services.
  8. The Customer understands and has become familiar with technical requirements necessary to use the Services and has no objections in respect thereof. The Customer is aware of risk and threats connected with electronic data transmission.
  9. Cell-Buddy ltd reserves the right to access Customer accounts for the technical and administrative and statistics and advertisements purposes and for security reasons. The obtained information in such a manner shall not be processed or made available to any third parties unless required by provisions of law.
  10. The Customers of Cell-Buddy ltd Service declares that they will not use the Service in the way that may constitutes a violation of laws.
  11. Violation of this Terms and Conditions, applicable laws or generally accepted norms and rules shall lead to the termination of this Agreement.

Acceptable Use Policy

  1. This Acceptable Use Policy applies to Cell-Buddy ltd Services accessible through voconet.io or vococ.net or vocod.net cell-buddy.com or freevoco.com  mobile versions and successors URLs related to the domain or subdomain.
  2. To ensure proper and fluent functioning of the system we hereby declare that Cell-Buddy ltd Customers shall not misuse the Services and product. Consequently, the Customers agree not to:
    1. hinder functioning of the Services especially in the form of reverse engineering or hacking the Services, attempting to gain unauthorized access to the Services (or any portion thereof) or related systems, networks or data,
    2. use the Services in a way contradictory to this Terms and Conditions and causing a real danger for the Cell-Buddy ltd, for example use the Services to generate or send unsolicited communications or communication judged to be a spam, or otherwise cause Cell-Buddy ltd to become impaired in its ability to send communications on its own or on its Customers’,
    3. misrepresent or mask the origin of any data, content or other information you submit for example by “spoofing”, “phishing”, manipulating headers or other identifiers, impersonating anyone else or access the Services via another Customer’s account without their permission,
    4. use the Services in a way which violates the rights of other individuals or laws,
    5. promote or advertise products or services different the one belonging to the Customer without legal basis,
    6. use the Services to provide, or incorporate the Services into, any product or service provided to a third party without explicit agreement regulating such situation established with Cell-Buddy ltd,
    7. allow or encourage anyone else to commit any of the actions listed above.
  3. As a condition of using the Services the Customer shall (a) as required by applicable law, provide notice to its customers (End-users) and obtain consent if required for use of Cell-Buddy ltd Services as well as for processing and transferring Agents and End-users Personal Data to the Company and its Third Party Service Providers (including but not limited to the consent for processing a sensitive data if required); (b) be responsible for its employees, representatives, End-users, and Agents that have ac use the Services; (c) comply with any limitations or restrictions set forth in these Agreement, and (d) use the Services only in compliance with applicable law.
  4. All information, data, text, software, graphics, commentary, video, messages, or any other materials submitted by using the Service, (collectively, “Data”), is the sole responsibility of the person from whom such Data originated. Customer is wholly responsible for all download, uploaded or otherwise transmitted via any of the Services. Cell-Buddy ltd is not responsible for the Data that the Customer submits in a Services.
  5. The Customer acknowledges and agrees that the Company may engage Sub-processors in connection with the provision of the Services, including without limitation the Processing of the Customers Personal Data.

Trademarks and copyrights

  1. “Cell-Buddy” is a trademark registered in the United States Patent and Trademark Office and is therefore subject to national as well as international protection.
  2. The Cell-Buddy ltd states that it has rights to intangible assets in the form of a graphic project of offered services and software, website layout, computer software as well as to all company signs, symbols and trademarks used within its scope of business activity. These assets are protected respectively by: an act dated 4th February 1994- Copyright and Neighboring Rights; an act dated 16th April 1993- Combating of Unfair Competition; an act dated 30th June 2000-Industrial Property Rights; European Union Law and other binding international agreements.
  3. The Cell-Buddy ltd websites listed above and all information, content, material, graphics, products (including any software) and services included on or otherwise made available to the Visitors and the Customer through the aforementioned websites are its exclusive property and are covered by an act on copyright and neighboring rights.
  4. Website addresses as well as their contents and layouts are protected by the aforesaid acts.
  5. The Cell-Buddy ltd websites and all information, content, material, products (including any software) and services included on or otherwise made available to the Customer through the aforementioned websites are provided by “as is” and “as available” basis unless specified otherwise in the Agreement. The Customer accepts the fitness of the Services and product for the purpose.
  6. Prior written consent of Cell-Buddy ltd is required for any not permitted business and non-business use of offered Services and products. Such consent is required in particular when disseminating and publicizing particular elements (e.g. photos, films, texts) in other Internet services/websites, printed publications, books, multimedia presentations and in other electronic media as well as for the disposal or use of its work (adaptations, alterations, modifications).
  7. Unauthorized lending, sale, granting of further licenses and sublicenses to the offered products and services by the Customer or any other entity or person without express consent of Cell-Buddy ltd is prohibited. Such acts are not deemed to be the proper use of Services.

Payments

  1. The use of offered Services available on the websites listed above is free of charge for the first several weeks depending on the Service.
  2. After that free trial period if the Customer wishes to continue using our Services he or she will be requested to make a payment according to currently effective price list placed on the individual website.
  3. All payments shall be non-cash transactions, conducted electronically by external professional entities.
  4. Non-payment according to currently effective price list means resignation from the provided Services.
  5. The receipts for all payments will be provided electronically and stored in the product as PDF files.
  6. The Customer shall be given a 14-day period notice of all changes in the price list.

Refund Policy

  1. Regardless of the billing cycle, the Company provides no refunds or credits for unused time of the Services or plan downgrades if you decide to close your account before the end of your subscription period.
  2. There will be no exceptions in order to treat all Customers equally and to keep our administrative costs low for the ultimate benefit of our Customers.
  3. Details for trial account, paid subscription and canceling the account are as follows:
    1. Trial license
    2. After signing up you get a new, fully functional Service account . The free trial is valid for a several weeks (depending on the Service) because we want you to test the Service in your own business environment and get to know our product well before you make your decision about subscription. During your trial period, the credit card is not required.
    3. Paid subscription
    4. Once you decide to subscribe, we need you to provide your credit card details, number of Agents (operators) seats and subscription period – however, we will not charge you immediately after submitting your details, but upon the end of your free trial. We do not offer refunds on already processed payments – this policy is the same for all Customers – and you are responsible for all charges in your subscription.
    5. Canceling the license
    6. You can cancel your account (license) at any time in the panel under Subscription tab. After canceling, your license will stop working immediately. Credit from previous payments will be lost and is not refundable.

Data Protection Compliance

  1. Cell-Buddy ltd is dedicated to protecting data protection and to promote compliance with rules set forth by, among others, European Union.
  2. Any observation or breach of data protection may be reported via support@voconet.io or vococ.net or vocod.net cell-buddy.com or freevoco.com

Account closing

  1. The Customer may close its account at any time. Account closing means that the further use of Services with the use of current password and login shall no longer be possible.
  2. The Customer is responsible for closing his account.
  3. Closing the account by the Customer before the end of settling period for which a payment has been made does not obligate Cell-Buddy ltd to refund the amount for the unused period.
  4. Cell-Buddy ltd reserves the right to close Customer’s account due to infringement of the provisions of these Terms and Conditions or in the event of illegal use of the offered Services.
  5. Cell-Buddy ltd shall not be liable for any damage suffered by the Customer or the End-user arisen due to the suspension or closing the account by the Customer or for other reasons arising from the Customer’s fault.

Guarantee and limited liability

  1. Cell-Buddy ltd guarantees the highest quality of its operations to ensure accessibility and continuity of offered Services and products in accordance with their use and purpose.
  2. Cell-Buddy ltd does not guarantee compatibility of offered Services and products with other producers’ software. The Customer shall bear responsibility for the choice and consequences following from the use of other software including its applicability to the Customer’s objectives. Please be aware that due to the complexity of long-distance data transmission there is no possibility to ensure an absolute security, accessibility and continuity of the provided Service.
  3. Cell-Buddy ltd stipulates that opinions given by users do not reflect in any possible manner Company’s views and opinions. Cell-Buddy ltd does not monitor or control Customer’s opinions on a continual basis; if, however, any opinions in breach with these Terms and Conditions should be revealed efforts shall be immediately made to remove them as soon as possible.
  4. Cell-Buddy ltd shall bear no liability in particular for:
    1. all negative consequences being the result of force majeure.
    2. phrases and entries added to the network in connection with the use of offered Services.
    3. unlawful and inconsistent with these Terms and Conditions Customer’s operations while using offered Services and products.
    4. disturbances in accessibility of offered products and Services not caused by Cell-Buddy ltd.
    5. damage suffered by the Customer, End-user or any other person or entity arisen due to the suspension or closing the account by the Customer or for other reasons arising from the Customer’s fault.
    6. damage suffered by the Customer as a result of a third party using his data that enable him to access the provided Services and products.
    7. damage following from the Customer or the impossibility to use offered products and Services including damage actually suffered, the loss of expected benefits, data loss, damage or computer crash, the costs of substitute equipment and software, shut-down, company reputation infringement.

By accessing or using the Service, including browsing the site, you expressly consent to the collection, use, storage, processing, and disclosure of your information in accordance with our Privacy Policy.

For purposes of this Policy, unless otherwise defined herein, capitalised terms used in this Policy shall have the same meaning as defined in the Terms and Conditions.

Final provisions

  1. Cell-Buddy ltd reserves the right to update the Terms and Conditions and Privacy Policy at any time without notice. The most current version of these documents can be reviewed by clicking on the “Terms and Conditions” and “Privacy Policy.” at the bottom of our website.
  2. All disputes arising in connection with these Terms and Conditions shall be primarily resolved amicably.
  3. Cell-Buddy ltd is open to set up a mediation in case of any conflict.
  4. All disputes that cannot be amicably resolved shall be submitted for resolution by Common Court of Law at the location of Cell-Buddy ltd principal office.
  5. The provisions of Civil Code, the act on copyright and neighboring rights, an act on electronic services providing and other provisions of effective law shall be applicable in issues not governed by these Terms and Conditions.

This Privacy Policy is effective to all information collected by Cell-Buddy Ltd. from which an individual can be identified (Personal Information/Personal Data). 5. Provided data

  1. The scope and purpose of gathering and processing Personal Data and other information by Cell-Buddy Ltd. is:
    1. to provide, maintain and facilitate the Services as well as to ensure safe and guaranteed Service performance, upgrade and improve the functionality of the Services,
    2. to provide Customer with access to its Personal Data and maintain this access via standard API methods for the duration of paid usage of Services (active subscription) as well as after the subscription is expired (inactive subscription), until the Service is fully terminated by a written request (in accordance with the Agreement),
    3. to secure (establish, investigate or defend) Customer’s, as well as Company’s claims that may arise due to the Services,
    4. to stay connected with the Customer to present up-to-date offer of Services and instructions or tips related to the Service.
  2. Personal Data and other Customers information collected by Cell-Buddy Ltd. is used in order to complete registration (create an account) and at the same time to ensure Customers access to Cell-Buddy Ltd.’s Services. While registering on one of our websites related to our Services, we request that you provide us with such information as: first name, last name, company business name, address, website address, e-mail address and credit/payment card information in the event when a Customer continues to use our Services after free of charge trial period. Unless the Customer decides to use our Services after free of charge trial period, credit/payment card information is not required. We also collect other information provided by Customer while using our Services. Some of the provided Customers information such as: your IP address, domain, browser type, operating system type etc, email address, phone number or mobile phone number,  may be automatically acquired when a user visits our websites. When contacting Cell-Buddy Ltd. the Customer may be requested to render accessible analogical data to those provided while registering on our website. We may also collect information (including Personal Data) provided by you and related to your Agents (people you employee to operate the Service) and End-users Personal Data provided in a Pre-chat or post chat or mid chat survey. We also store your chat content. Please note you are fully responsible for lawfully obtaining such data in accordance with the applicable law, as well as a lawful processing such data to Cell-Buddy Ltd. Details of your liability for the aforementioned data you can find in Terms and Conditions.
  3. Personal Data provided in connection with the correspondence between the Customer or Visitor and Cell-Buddy Ltd. shall be used strictly to reply to inquiries or to transfer information. We use the information you provide us in order to provide you with customer service, allow you to view moves made by you or your Agents. When using the support section of our sites we may collect your e-mail address, name or openID account for the purpose of allowing contact with our support team. We do it regardless you are a Visitor or a Customer. When using our Services we may collect device information such as device type, operating system type and application version. We use this information in order to provide an optimized version of our applications for your device type. Please be aware we also collect and process data related to the use of our software and Services by our Customers and their customers. We use such data for statistics purposes. We may use it also to improve our Services or create and improve new services. We collect and process such data collectively and anonymously.
  4. Categories of data subjects:
  5. Data subjects include Customer, Customer’s representatives and End-users, as well as employees, Agents, contractors, collaborators, and Customer’s clients. Data subjects may also include individuals attempting to communicate or transfer personal information to Customers. The data subjects exclusively determine the content of data submitted to the Company.
  6. Types of Customer Personal Data:

The proceeded personal data includes email address, first name and last name, address, title, contact details, username, chat history, financial information (credit card details, account details, payment information); employment details (employer, job title) and other data in an electronic form provided in the context of the Services.
  8. Consent for processing and transferring Personal Data
  9. The Customer agrees and warrants that the processing, including the transfer of its Personal Data has been and will continue to be carried out in accordance with the relevant provisions of the applicable Data Protection Laws (and, where applicable, has been notified to the relevant authorities of the Member State where the Company is established or has its representative) and does not violate the relevant provisions of that State.
  10. Profiling Personal Data:
  11. Please note that by using our Services Customer gives its consent to the profiling of its Personal Data that was given to the Company, for the purpose of proper maintenance and providing the Service and other specified in a Privacy Policy. Customer agrees that the profiling of its data shall serve, in particular, the purpose of providing Customer with content that is accurate and consistent with the scope of the Service. Customer acknowledges that it has the right not to be profiled. In such case the request can be made at any time at support@voconet.io or vococ.net or vocod.net cell-buddy.com or freevoco.com. Withdrawing the consent is tantamount to the termination of the Agreement.
  12. Return or destruction of Personal Data.
  13. At Customer’s election, made by written request to the Company, the Company will, and shall procure that all Sub-processors:
    1. return a complete copy of all Customers Personal Data to the Customer,
    2. and delete and procure the deletion of the Customers Personal Data Processed by the Company or any Sub-processor. The Company will comply with any such written request within 30 days, unless it is unworkable due to the purposes of processing or due to the technical issues.
  14. Retention of Copies. The Company may retain Customer Personal Data to the extent required by applicable European Union law or the law of an EU Member State and only to the extent and for such period as required by such laws and always provided that the Company shall ensure the confidentiality of all such Customer Personal Data and shall ensure that such Personal Data is only processed as necessary for the purpose(s) specified in such law requiring its storage and for no other purpose.
  15. The Customer agrees that after the termination or expiration of the Agreement its data may be stored as a backup for the time needed to secure (establish, investigate or defend) Customer’s and Company’s claims that may arise due to the performance of the Services (for the time it takes for the claims to be barred).

6. Data Protection

  2. Please be aware Cell-Buddy Ltd. may have access to your geo-location data as we collect and process IP address of all devices you use our software on. Collecting and processing your geo-location data refers to mobile devices as well as computers.It happen regardless you are a Visitor or a Customer.
  3. Communications from the site

  5. Third party Personal Data
    1. We allow you to provide us with third party Personal Data. We mean End-users data (your visitors/customers, people who uses Services to contact you) and Agents data. We do it in order to allow you to add Agents (persons you employ while using our software) to your account and provide services to your End-users. Depending on the particular promotion, when you register for the Service through such a promotional partner of ours, that partner may provide us with a user/member name that you already use with that partner’s products or services or that you or it have otherwise pre-selected as part of the promotion. To enrich our profiles of individual Customers, we may tie this information to the personally identifiable information they have provided to us.

  10. Clear Gifs (Web Beacons/Web Bugs)
  11. Our third party tracking utility partner employs a software technology called clear gifs (a.k.a. Web Beacons/Web Bugs), that help us better manage content on our site by informing us what content is effective. Clear gifs are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the online movements of web users.   15. Our websites includes social media features, such as the ‘Facebook Like button’ and Widgets, such as the ‘Share This button’ or interactive mini-programs that run on our site. These features may collect your IP address, or other personal details which page you are visiting on our site, and may set a cookie to enable the feature to function properly. Social media features and widgets are either hosted by a third party or hosted directly on our site.   19. Depending on the Service you use you may have the possibility to log in to our chat customer support feature using sign-in services such as Facebook Connect and other OpenID providers. These services will authenticate your identity and provide you the option to share certain Personal Information with us such as your name and e-mail address to pre-populate our chat form. Services like Facebook Connect give you the option to post information about your activities on this website to your profile page to share with others within your network.

Cell-Buddy Ltd.’s main purpose of gathering Personal Data and other information is to maintain Services, ensure safe and guaranteed Services performance for its Customers, upgrade and improve functionality of its Services or provided related ads or other related services. Owing to the above process we exceed our Customers’ expectations, we provide a constant development of our Services the use of which becomes much easier and more convenient. In order to ensure orderly and safety functioning our Service we cooperate an use a software of other entities providing services (described below). We do not sell or lease, your Personal Data to any third party. We will never share, sell rent or trade your registration and Personal Information with any marketing or promotional partners without your consent.

Cell-Buddy Ltd. reserves the right to disclose and the Customer agrees for the disclosure and transfer its Personal Data and other information relating to the Customer to Third Party Service Provider (including Sub-processors) such as hosting, credit card processing, customer/support services, e-mail, text messages, push notifications providers or others. On your request we can provide you with a list of entities which may have access to your Personal Data. We ensure these entities have access only to the minimum part of the Personal Data which is necessary for the proper service provision. Cell-Buddy Ltd. shall observe due diligence to make sure the processing of data disclosed to any entities is in compliance with our Privacy Policy and the currently effective law.
    3. Credit/payment card data provided by the Customer are disclosed solely to professional companies that conduct non-cash transactions and only to the extent necessary to effect the payments. Except for the above situations Cell-Buddy Ltd. shall not disclose any information or personal data provided by Customer.
    4. Personal Data can be disclosed to entities into which our company is merged, or to which our assets, site or operations have been transferred. Mentioned entities will be able to use your Personal Information under the terms of this Privacy Policy. We will notify you if any of these events occur by updating this Privacy Policy and, if practically possible, via other means.
    5. You should also be aware that courts of equity, such as U.S. Bankruptcy Courts, or governmental authorities may have the authority under certain circumstances to permit your Personal Information to be shared or transferred to third parties (other than Third Party Service Provider) without your permission.

Personal Data and other information provided by Customer shall not be disclosed to third parties unless the obligation to disclose the information to third parties results from the currently effective provisions of law, such as to comply with a subpoena, or similar legal process, when we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request, or if it is necessary for the Cell-Buddy Ltd.’s security and its rights protection, including the protection against the claims submitted by the third parties. The provided Customer’s information may be utilized in the event of breach of Terms and Conditions for the use of Services, misuse of funds, the necessity to take action against all Customer’s unlawful actions. Cell-Buddy Ltd. shall transfer no information or Personal Data to any third parties for marketing purposes. Cell-Buddy Ltd. reserves the right to use the provided Personal Data for the marketing purposes and other purposes connected with presenting up-to-date offer of Services and instructions or tips related to the Service in direct contacts with the Customer. You may opt-out from such e-mails at any time by following the unsubscribe instructions located at the bottom of each communication or by e-mailing us at support@voconet.io or vococ.net or vocod.net cell-buddy.com or freevoco.com (or via support e-mail of the Service you use).

7. Opportunity

We will always give you an opportunity to choose opt-out before your Personal Data is (1) disclosed to a Sub-processor (other than Cell-Buddy Ltd.’s representatives doing work at our direction, or a third party affiliated or associated with Cell-Buddy Ltd. and connected with providing services and its current business activity), or (2) to be used for a purpose that is materially different than that for which it was originally collected or subsequently authorized by you. 8. Accountability for Onward Transfer

The Company shall comply with any commercially reasonable request by Customer to correct, amend, block or delete Customer’s Personal Data, as required by Data Protection Laws, to the extent the Company is legally permitted to do so. Cell-Buddy Ltd. reserves the right to use its Privacy Policy, Customer’s account and provided data and information for the benefit of an entity that has become either a dependent entity, an associated entity, or has come into being as a result of merger or transformation of Cell-Buddy Ltd.

17. Testimonials

We post Customer testimonials on our websites which may contain Personal Data. We obtain the Customer’s consent via e-mail prior to posting the testimonial to post their name along with their testimonial.

18. Community forum

Our websites may offer publicly accessible forums. You should be aware that any information you provide in these areas may be read, collected, and used by others who access them.

19. Import Agents List

Depending on the Service you use we provide you with a way to import up to 100 operators at a time by allowing you to upload an excel spreadsheet. We will only use the information to allow you to add multiple Agents to your account at one time. We will send these operators a one-time e-mail inviting them to register with the site.     2. Cell-Buddy Ltd. hereby declares that it takes responsibility to ensure its data entrusted to it by its Customers, users, business partners and employees are properly protected and used only for appropriate business purposes.
    3. As this Compliance form is unilaterally binding upon Cell-Buddy Ltd. it may be used by any party using Cell-Buddy Ltd. Services as a proof for our declaration concerning GDPR compliance.
  2. Scope of application
    1. This policy statement applies to all Cell-Buddy Ltd. operations all over the system internally (including all in-house software solutions) and externally to all third-parties who may access to Cell-Buddy Ltd. systems and data.

At the same time, Cell-Buddy Ltd, acts as a controller in case of data collected from Customers or End-users for the purpose of account set up and maintenance.
    2. Cell-Buddy Ltd. is responsible for the processing of Personal Data it receives under the Privacy Shield Framework and subsequently transfers to a third party acting as an representative on its behalf. We comply with the Privacy Shield Principles for all onward transfers of Personal Data from the EU and Switzerland, including the onward transfer liability provisions.
    3. Cell-Buddy Ltd. as processor or controller takes actions on data entered by the controllers or data subjects to the system. Such data may include name, surname, company business name, address, website address, e-mail address.
    4. Cell-Buddy Ltd.’s main purpose of gathering Personal Data and other information is to provide, maintain and facilitate the Services as well as to ensure safe and guaranteed Service performance, upgrade and improve the functionality of the Services; to provide Customer with access to its Personal Data and maintain this access via standard API methods for the duration of paid usage of Services (active subscription) as well as after the subscription is expired (inactive subscription), until the Service is fully terminated by a written request (in accordance with the Agreement); to secure (establish, investigate or defend) Customer’s, as well as Company’s claims that may arise due to the Services; to stay connected with the Customer to present up-to-date offer of Services and instructions or tips related to the Service.
    5. Cell-Buddy Ltd, may process the content of chat conversations only if necessary for maintenance purposes to ensure proper functioning of the Service.
    6. Customer shall have full responsibility for content and legality of data entered into the system as well as its maintenance in line with European applicable data protection laws. A Customer is responsible for obtaining consent in case of entering any sensitive data to Cell-Buddy Ltd. Services.
    7. Cell-Buddy Ltd. shall not take responsibility for the content placed within the system apart from ensuring adequate security measures due to technical inability to control the content entered by Customers or End-users during chat conversations.
    8. Cell-Buddy Ltd. allow Customers to provide us with third party Personal Data. The information that we may collect is name, surname, e-mail address and other contact information, in order to allow you to add Agents to your account and provide services to your visitors and/or clients (End-users). We declare that will not use this information for any purpose which is not compliant with our Privacy Policy.
    9. To achieve high certainty level, Cell-Buddy Ltd. declares that it shall not sell, lease of trade Personal Data to any external, unrelated company or person. Cell-Buddy Ltd. reserves the right to disclose Personal Data to any of our parent, subsidiary, affiliated or successor companies, and other situations stipulated in our Privacy Policy as the only exceptions.

    13. Cell-Buddy Ltd. enable Customers to opt-out of any profiling mechanism or to exercise their right to request data deletion, correction or right to be forgotten.
